Approved Prospectus and Listing of Shares

Reference is made to the stock exchange releases published by Oceanteam ASA ("Oceanteam" or the "Company") on 11 November 2018 regarding the agreement with the bondholders to convert the remaining outstanding bonds into equity in the Company and on 17 December 2018 regarding the conversion of the bonds, following which there were no bonds outstanding.
Prospectus approved:
The Norwegian Financial Supervisory Authority (Nw. Finanstilsynet) has approved the prospectus of Oceanteam ASA dated 30 January 2019 (the "Prospectus") in connection with the listing of a total of 88,464,179 shares (the "Conversion Shares") already issued in conjunction with the conversion of the remaining outstanding bonds. The Prospectus is available at the Company's website, www.oceanteam.nl. Hard copies of the Prospectus will be available free of charge at the Company's offices at Tveiteråsvegen 12, 5232 Paradis.
Listing of the Conversion Shares on Oslo Børs:
Pending publication of the Prospectus, the Conversion Shares have, since their issuance, been registered with the Norwegian Central Securities Depositary, or the VPS, on an International Securities Identification Number ("ISIN") (ISIN NO0010839384) separate from the ordinary ISIN of the Company's shares (ISIN NO0010317316). Accordingly, the Conversion Shares have not been tradable on Oslo Børs. As a consequence of the approval and publication of the Prospectus, the Conversion Shares will be registered on the ordinary ISIN of the Company's, and hence be tradable on Oslo Børs, from and including 31 January 2019.
